Terms of Service

1. Acceptance of Terms

By accessing or using the Easy Enrichment API service ("Service"), operated by AI Factory ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We reserve the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Description of Service

Easy Enrichment provides a transaction enrichment API that transforms raw bank transaction descriptions into structured merchant data including merchant names, categories, logos, and other metadata.

3. Account Registration

To use the Service, you must:

• Create an account with accurate and complete information
• Be at least 18 years old or the age of majority in your jurisdiction
• Keep your API key confidential and secure
• Be responsible for all activity under your account
• Notify us immediately of any unauthorized access

4. API Usage and Restrictions

4.1 Permitted Use

You may use the API to:

• Enrich transaction data for your applications and services
• Display enriched data to your end users
• Integrate with your existing systems and workflows

4.2 Prohibited Use

You may NOT:

• Resell, redistribute, or sublicense the API or its data without authorization
• Attempt to reverse engineer, decompile, or extract the underlying models
• Use the Service for any illegal purpose or in violation of any laws
• Send malicious, harmful, or fraudulent data to the API
• Attempt to circumvent rate limits or security measures
• Use automated means to create multiple accounts
• Impersonate others or misrepresent your affiliation
• Interfere with or disrupt the Service or its infrastructure
• Use the Service to build a competing product

5. Pricing and Payment

5.1 Pay-Per-Request Model

The Service operates on a pay-per-request model. You add funds to your account balance and each API call deducts from that balance at the current rate.

5.2 Pricing

Current pricing is displayed on our website. We reserve the right to change pricing with 30 days notice. Price changes do not affect previously purchased credits.

5.3 Refunds

Unused credits may be refunded within 30 days of purchase. Credits that have been used are non-refundable. Contact support to request a refund.

5.4 Free Trial

New accounts receive 20 free API calls. Free trial credits have no cash value and cannot be transferred or refunded.

6. Service Level Agreement

We commit to 99.9% API uptime measured monthly. This excludes scheduled maintenance (announced 48 hours in advance) and circumstances beyond our reasonable control.

If we fail to meet this SLA, you may request service credits. Maximum credit per month is 30% of that month's usage charges.

7. Intellectual Property

7.1 Our IP

The Service, including its algorithms, models, APIs, documentation, and branding, is owned by AI Factory and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service as intended.

7.2 Your Data

You retain all rights to your data. By using the Service, you grant us a limited license to process your data solely to provide the Service. We do not claim ownership of your data.

7.3 Feedback

If you provide feedback or suggestions, you grant us the right to use them without compensation or attribution.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. You are responsible for ensuring your use of the Service complies with applicable data protection laws (including GDPR and CCPA).

9. Disclaimers

While we strive for accuracy, enrichment results are generated by AI models and may contain errors. You should not rely solely on our data for critical decisions without verification.

10. Limitation of Liability

Our total liability for any claims under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless AI Factory and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your end users' use of your applications that integrate our Service

12. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access immediately if you violate these Terms.

Upon termination, your right to use the Service ceases immediately. Unused credits may be refunded at our discretion. Sections that by their nature should survive termination will survive (including IP, disclaimers, limitations, and indemnification).

13. Governing Law

These Terms shall be governed by the laws of Spain, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Madrid, Spain.

14. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and us.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• No Waiver: Failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms without our consent. We may assign them freely.
